Closed-source project terms and the boundary between legal access and our team promise.

This licence governs proprietary Geno-Dice software and associated non-public materials. The Geno-Dice Charter governs how we aim to treat one another.

1. Grant of Licence

The Licensor grants an authorised user a limited, non-exclusive, non-transferable and revocable right to access and use the Software for the purpose explicitly approved by the Licensor.

Access may be granted to an end user for personal use, or to a team member for work in the official project environment. No right is granted by implication.

2. Restrictions

Unless the Licensor gives prior written permission, you may not redistribute, sublicense, sell, lease, publish, disclose or otherwise make the Software or its source code available to a third party.

You may not reverse engineer, decompile, disassemble, bypass access controls, remove proprietary notices, or use the Software to create an unauthorised competing or derivative product.

Team members may modify the Software only within the scope of their authorised project work and the repository agreements that apply to that work.

3. Team Contributions

Contributions accepted into an official Geno-Dice repository may be used, modified, maintained, distributed and incorporated into the project by the Licensor to the extent permitted by the contributor's written agreement and applicable law.

Access to private repositories, systems or confidential material exists only while separately authorised. Leaving the team does not create a continuing technical access right.

The Geno-Dice Charter expresses the team's cultural promise: a former team member's contribution remains respected, and the team welcomes a future conversation about working together again when it is possible and right for everyone involved. This promise is not a guarantee of employment, contract, access, compensation or a particular role.

4. Ownership and Confidentiality

The Software, its private source code, non-public documentation, assets and associated intellectual property remain proprietary unless a specific component is published under a separate licence.

Confidential information learned through authorised access must remain confidential after the authorisation or working relationship ends.

5. Suspension and Termination

The Licensor may suspend or terminate access when authorisation ends, security requires it, or these terms are breached. On termination, the user must stop unauthorised use and return or destroy confidential copies where legally and technically applicable.

Termination of access does not erase authorship, contribution history or mutual respect.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY OR ERROR-FREE OPERATION.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor is not liable for indirect, incidental, special, consequential or punitive loss arising from use of, inability to use, or reliance on the Software.

8. Governing Terms

This licence is governed by the law applicable to the Licensor. Mandatory rights that cannot legally be excluded remain unaffected.

If a separate written agreement, employment agreement, contributor agreement, repository policy or component-specific licence applies, that document takes priority for its subject matter.
